Learning outcomes (list)

Is customer focused. The business professional acts in the interest of the customer;
The student works out a legally sound advice in which a problem of company or association law is dissected and indicates how this problem can be avoided or solved.
The student indicates which procedures in company and association law have been developed to protect the stakeholders and third parties and describes the ratio legis, the conditions and the elaboration of these procedures.
Understands law fields and aspects most relevant to the business world; he/she can resolve less complex practical problems within these fields.
The student describes how the organs of a certain company or association form are composed, what their powers are and how they function (being convened, deliberating and taking decisions, representing).
The student describes how the various forms of company and association are established and describes which conditions and formalities must be fulfilled for the establishment of a certain company or association form.
The student explains the objectives, conditions and concrete implementation of current operations relating to company and association law (amendments to the articles of association, additional contributions and write-backs, capital increase / capital decrease, transformation, merger / demerger, dissolution and liquidation, ...).
The student explains the rights and obligations of the various actors under company and association law (shareholder/non-affiliated company/member, holder of profit-sharing/bonding/warrants, director, permanent representative, person in charge of day-to-day management, statutory auditor, bodies).
The student indicates the differences between various types of companies and associations. He/she indicates the advantages and disadvantages of a certain type of company or association.
The student explains which rules of company law apply to the case, what they exactly entail and then indicates to what result they lead to when applied to the case.
Substantively supports the law professionals (bailiffs, notaries public, magistrates, barristers, solicitors,…)
The student calculates whether the conditions for the application of certain procedures/protection mechanisms relating to company law or association law have been met (transfer of shares, full payment, amendment of the articles of association, legal reserve, alarm procedure, distributions, ...).
Takes responsibility for his / her own professional development, independently monitors trends in function of his / her own professional development and integrates these new insights.
The student follows the evolutions in legislation and jurisprudence regarding company and association law and can indicate how they can influence the outcome of a concrete legal question.
